1. Agreement to Terms

By accessing or using the services, digital software, APIs, tools, or websites provided by Offfold ("Service", "we", "us", or "our", accessible at https://offfold.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service & Products

Offfold provides cloud-based software tools, developer utilities, and local-first automation software (including Maintiary). Products are distributed as digital software packages, skill definitions, and perpetual tools.

3. Merchant of Record & Billing

Our online payments, order processing, and tax compliance are conducted by our Merchant of Record (MoR), Waffo Pancake (Waffo). Waffo acts as the Merchant of Record for all our transactions, calculates and remits applicable sales taxes (VAT / GST / Sales Tax), issues invoices and payment receipts, and handles payment processing and billing inquiries.

When placing an order or purchasing a license for Offfold products, you agree to Waffo's Terms of Service and Privacy Policy. All payments are securely handled through Waffo's hosted checkout.

4. Pricing, Fees & Billing Terms

Standard $1 Pricing Model: All products in the Offfold catalogue are offered at a transparent, flat price of $1.00 USD per product.

All fees are charged as a one-time purchase granting perpetual license access to the corresponding product and its documentation, unless explicitly indicated otherwise. Where required by applicable law, regional sales tax, VAT, or GST will be calculated and added by Waffo Pancake at checkout.

5. Refund & Cancellation Policy

We stand behind our software. Offfold provides refund options in accordance with our Refund & Cancellation Policy. We offer a 14-day refund guarantee from the date of initial payment. In case of duplicate charges, software defects, or billing questions, please reach out to our team at [email protected] before initiating a chargeback or payment dispute so we can resolve the matter promptly.

6. Acceptable Use Policy & Prohibited Conduct

You agree to use our Service and software strictly in compliance with applicable laws. Prohibited conduct includes, but is not limited to:
1. Unauthorized access, interference, or disruption of our website, infrastructure, or payment flow.
2. Reverse engineering, decompiling, or circumventing licensing mechanisms where prohibited by law.
3. Redistributing, reselling, or sublicensing proprietary Offfold product binaries or source packages without written authorization.
4. Payment fraud, using stolen payment credentials, initiating fraudulent or bad-faith chargebacks, or abusing refund systems.
5. Using our tools or services to violate third-party intellectual property rights or transmit malicious payloads.

7. Consequences of Breach, Suspension & Termination

Remedies for User Violation: If we determine or reasonably suspect that you have violated any provision of these Terms of Service or engaged in prohibited conduct, Offfold and its Merchant of Record (Waffo Pancake) reserve the right to immediately take any or all of the following enforcement measures without prior notice:

Immediate Service Suspension: Immediate suspension, restriction, or permanent revocation of access to all Offfold websites, APIs, downloads, customer accounts, and customer support channels.
License Termination: Instant revocation and termination of any and all software licenses, license keys, and entitlements granted under these Terms. Upon termination, you must immediately cease all use of the software and delete all copies in your possession.
Order Cancellation & Refusal: Immediate cancellation of pending orders, refusal of order fulfillment, rejection of future transactions, and blacklisting of associated payment accounts.
Forfeiture of Fees: Forfeiture of all fees and payments made. No refunds or credits will be issued for services, orders, or software licenses terminated due to a material breach of these Terms.
Legal Action & Damages: Offfold reserves the right to seek all available legal remedies, including monetary damages, injunctive relief, and recovery of legal fees, as well as reporting unlawful or fraudulent activities to relevant banking partners and law enforcement authorities.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Offfold, its operators, and its partners shall not be liable for any indirect, incidental, punitive, or consequential damages arising out of the use or inability to use the Service.
